Terms of Service

These Terms of Service (“Terms”) are an agreement between you and SATECH LLC, a Connecticut limited liability company doing business as Satech Cloud (“SATECH,” “we,” “us”). They cover your use of Dyalo™, including the website at dyalo.ai and any related apps and services (the “Service”). By creating an account or using the Service, you agree to these Terms, our Privacy Policy, Refund Policy, Acceptable Use Policy and AI DisclaimerAccessibility, which are part of these Terms.

1. Who can use Dyalo

You must be at least 18 years old, or at least 13 years old with the permission of a parent or guardian who agrees to these Terms on your behalf. Dyalo is not directed to children under 13. You are responsible for keeping your sign-in email secure and for all activity on your account. Turn on two-step sign-in to protect your credit.

2. What Dyalo does

Dyalo is a practice and preparation tool. It reads text aloud, translates, generates practice interview questions and model answers, checks and rewrites résumés, scores spoken practice, helps write and rehearse speeches and meetings, and provides a teleprompter. Features use third-party artificial intelligence services. Results can be wrong or incomplete; see the AI Disclaimer.

3. Credit and payments

• Prepaid credit. Paid features use Dyalo credit, which you buy in advance in packs or receive each month with a plan. Prices and the approximate cost of each feature are shown in the app before you buy.
• Monthly plans. Plans (currently Standard, Premium and Business) are subscriptions billed monthly in advance. They renew automatically each month until you cancel. Each paid renewal refills your plan allowance to the full monthly amount shown when you subscribed; unused allowance does not carry over to the next month and has no cash value. Your plan allowance is used before any credit you bought. You can cancel at any time under “Manage subscription and receipts” in your account. Canceling stops future renewals, and your plan keeps working until the end of the month you have paid for. If a renewal payment fails, your plan may stop refilling until the payment succeeds. We may change plan prices or allowances for future months; we will tell you at least 30 days before the change applies to your next renewal, and you can cancel before then.
• Free starter credit. New accounts may claim a small amount of free starter credit, limited to one per person. Creating multiple accounts, or otherwise working around this limit, is not allowed and may lead to the removal of credit or the account.
• Studio voices. Studio voices (currently from ElevenLabs) are available after your first credit pack purchase or while you have an active plan, and can’t be used with free starter credit alone. Each voice shows its approximate price per minute before you use it.
• No cash value. Credit has no cash value, can’t be transferred or resold, and can only be used on the Service. Purchased credit does not expire while the Service operates. If we permanently discontinue Dyalo, we will refund the unused portion of purchased credit.
• Payment processing. Payments are processed by Stripe. We never receive or store your full card number. Stripe’s terms and privacy policy also apply to your payment.
• Refunds are covered by the Refund Policy.
• Daily safety limit. To protect your account from misuse, we may limit how much credit an account can spend in one day.
• Price changes. We may change prices for future purchases. Credit you already bought keeps its value. Plan price changes follow the notice described under Monthly plans.

4. Your content

“Your Content” means anything you submit to the Service, such as résumés, job descriptions, text, notes and recordings. You keep all rights to Your Content. You give SATECH a limited permission to process Your Content only as needed to provide the features you request, including sending it to the AI providers listed in our Privacy Policy. We do not store Your Content after the request is completed, except as described in the Privacy Policy. You are responsible for having the right to submit Your Content, including any third-party material.

Outputs. As between you and SATECH, you may use the text, audio and other results the Service produces for you (“Outputs”) for your own purposes, subject to these Terms and applicable law. Similar Outputs may be produced for other users.

5. Our property and the license we give you

The Service, including its software, prompts, designs, text, graphics, workflows, and the Dyalo name and logo, is owned by SATECH LLC and protected by copyright, trademark, trade secret and other laws. Dyalo™ is a trademark of SATECH LLC. We give you a limited, personal, revocable, non-exclusive, non-transferable license to use the Service as intended under these Terms. All rights not expressly granted are reserved.

You may not, and may not help anyone else to:

1. copy, modify, translate or create derivative works of the Service;
2. reverse engineer, decompile, disassemble, deobfuscate or otherwise try to obtain the source code, prompts, system instructions, models or underlying logic of the Service, except to the extent applicable law expressly allows despite this restriction;
3. scrape, crawl, harvest or collect data from the Service by automated means, or use bots or scripts to access it, other than through features we provide;
4. copy the Service’s interface, workflows or features to build or train a competing product or AI model;
5. resell, sublicense, rent or provide the Service to others as a service, unless SATECH agrees in writing;
6. bypass or interfere with security, credit, rate limits, free-credit limits, bot checks or access controls;
7. use the Service in violation of the Acceptable Use Policy.

6. Feedback

If you send us ideas or suggestions, we may use them without obligation to you.

7. Suspension and termination

You may stop using Dyalo at any time and ask us to delete your account. We may suspend or end your access if you break these Terms, if your use creates risk or legal exposure for us or others, or if required by law. If we end your account without cause, we will refund the unused portion of your purchased credit. If we end it because you broke these Terms, unused credit may be forfeited where the law allows.

8. Third-party services

The Service relies on third parties, including Cloudflare (hosting and security), Stripe (payments), email delivery providers and AI providers. Their services are governed by their own terms, and we are not responsible for them.

9. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, SATECH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. Dyalo does not guarantee any interview, job offer, admission, performance result or other outcome.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SATECH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OPPORTUNITIES OR GOODWILL. SATECH’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID SATECH IN THE 12 MONTHS BEFORE THE CLAIM OR US $50. Some places don’t allow these limits, so they may not apply to you.

11. Indemnity

You agree to defend and indemnify SATECH against claims, losses and costs (including reasonable attorneys’ fees) arising from Your Content or your violation of these Terms or the law.

12. Governing law and disputes

These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Connecticut, and you and SATECH consent to their jurisdiction, except that either party may bring an individual claim in small claims court. Before filing a claim, please contact us so we can try to resolve it informally.

13. Changes

We may update these Terms. If a change is material, we will notify you in the app or by email before it takes effect. Continuing to use the Service after the effective date means you accept the updated Terms.

14. General

These Terms are the entire agreement between you and SATECH about the Service. If any part is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets.
